BuildThread Terms of Use

These Terms of Use ("Terms") govern access to and use of the website located at buildthread.co and the BuildThread software platform (collectively, the "Services"), provided by BuildThread ("BuildThread," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.

1. Description of Services

BuildThread provides software to homebuilders for buyer communication, prospect intelligence, and related construction-sales workflows, including an AI-powered prospect agent, automated milestone-based SMS and buyer hub updates, AI-generated prospect intelligence and reporting, and a marketplace through which buyers may access offers from third-party service partners. BuildThread is a software provider only. BuildThread is not a party to, and assumes no responsibility for, the construction, sale, financing, or delivery of any home. All such matters remain solely between the homebuilder and the buyer.

2. No Brokerage, Agency, or Advisory Relationship

BuildThread is a software platform and is not, and does not act as, a real estate broker, agent, fiduciary, mortgage lender, appraiser, or financial or legal advisor to any builder, prospect, or buyer. Nothing in the Services constitutes an offer, solicitation, or recommendation to buy, sell, or finance any property. Any decision to purchase, finance, or contract for a home is made solely between the builder and the buyer, independent of BuildThread.

3. Eligibility and Accounts

The Services are intended for use by businesses and their authorized representatives, not individual consumers acting in a personal capacity, except where a homebuyer or prospect accesses a buyer-facing feature, such as a project status hub, made available to them by a builder using the Services. You must be at least 18 years old to create an account or to use SMS or buyer-facing features.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. SMS Messaging Terms

By providing a mobile phone number and consenting to receive text messages through the Services, you agree to receive automated, transactional SMS messages related to construction milestones and project updates from the builder using BuildThread.

Message and data rates may apply. Message frequency varies based on construction activity. Reply STOP at any time to opt out of further messages. Reply HELP for assistance. Carriers are not liable for delayed or undelivered messages. Consent to receive SMS messages is not a condition of any purchase.

The Client builder determines which buyers and prospects are enrolled in SMS messaging and when that enrollment occurs. BuildThread provides the messaging infrastructure on the Client's behalf and does not independently select or enroll message recipients.

5. Acceptable Use

You agree not to use the Services for any unlawful purpose or in violation of these Terms; to attempt to gain unauthorized access to the Services, other accounts, or related systems; to interfere with or disrupt the integrity or performance of the Services; to reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law; to use the Services to transmit spam, malware, or unlawful content; or to use the AI prospect agent to misrepresent BuildThread, the builder, or any home, pricing, or availability information.

6. Builder-Supplied Information

The Services may display pricing, incentives, availability, floor plans, specifications, construction schedules, and other inventory information supplied by a builder Client. BuildThread does not independently verify and does not guarantee the accuracy, completeness, or currency of this builder-supplied information. Any reliance on this information should be confirmed directly with the builder.

7. Client Data, AI-Generated Intelligence, and Ownership

As between BuildThread and a builder Client, the Client retains all ownership rights to data they submit or that is collected on their behalf through the Services, including prospect and buyer conversation data, photos, and project information. BuildThread is granted a limited license to use this Client Data solely to provide, maintain, and improve the Services for that Client.

BuildThread's standard product delivers AI-processed intelligence, including conversation dossiers, synopses, engagement scoring, and recommended actions, as the primary interface to this data. Underlying raw conversation data is retained by BuildThread on the Client's behalf and is available to the Client upon request. BuildThread does not withhold a Client's own data from that Client.

A Client's specific conversation content is not used to train any AI model made available to or shared with another Client. BuildThread may use Client Data, in de-identified and aggregated form only, to produce market-level insights, benchmarking, and analytics across Clients, and to improve platform features and analytics functionality generally. BuildThread will not disclose a Client's identifiable data, including the identity of any specific prospect or buyer, or any specific Client's confidential business information, to another Client or to any third party.

BuildThread may develop and offer industry benchmarks, trend reports, and market intelligence products derived solely from aggregated and de-identified information of the kind described above.

BuildThread retains all ownership rights to the Services themselves, including the underlying software, AI models, designs, and BuildThread's proprietary methodologies, independent of any Client Data processed through them.

8. Client Confidentiality and Competitive Separation

BuildThread serves multiple builder Clients, including Clients that may compete with one another in the same or overlapping markets. BuildThread maintains strict separation between Clients with respect to identifiable data:

A Client's specific data, including prospect identities, conversation content, pricing, incentives, sales performance, and other business information, is never disclosed to another Client.

No Client receives another Client's identifiable information under any circumstance, including where a single prospect has interacted with more than one Client.

Any benchmarking or market-level product made available to Clients is built solely from aggregated and de-identified data, as described in Section 7, and does not expose any individual Client's underlying data.

BuildThread does not use one Client's confidential business information to provide a competitive advantage to another Client.

9. User-Generated Content

Where the Services allow a buyer to upload photos or other content, such as through a project story feature, the buyer represents that they own or have the right to share that content. By uploading content, the buyer grants BuildThread and the relevant builder Client a license to store, display, and include that content within the Services for the purpose of providing the feature. A buyer may request removal of their uploaded content by contacting the builder or BuildThread directly.

Where the Services allow import of inspiration content from third-party platforms such as Pinterest or Houzz, that content remains subject to the originating platform's intellectual property rights and terms of use. BuildThread does not claim ownership over content imported from third-party platforms.

Where the Services allow a buyer to share content to a third-party platform, such as Facebook, or via SMS, that sharing action and any resulting use of the content is governed by that third party's own terms and privacy practices. BuildThread is not responsible for how a third-party platform handles content once it has been shared.

10. Marketplace and Third-Party Partner Services

The Services may include, now or in the future, a marketplace through which buyers can access offers, products, or services from third-party partners, including but not limited to paint and color services, window treatments, fencing, internet and cable providers, home security, and moving services ("Partner Services").

With respect to Partner Services, BuildThread acts solely as a facilitator connecting buyers with third-party partners. BuildThread is not the seller, manufacturer, installer, or provider of any Partner Service, and is not a party to any transaction, contract, or agreement entered into between a buyer and a partner. Any such transaction is governed solely by the partner's own terms, pricing, and policies.

BuildThread disclaims all liability for the quality, safety, legality, availability, delivery, or performance of any Partner Service. Any dispute regarding a Partner Service must be resolved directly with the partner.

BuildThread may receive referral fees, commissions, or other compensation from partners in connection with a buyer's engagement with or purchase of a Partner Service. This compensation does not affect the price a buyer pays a partner unless otherwise disclosed.

A buyer's contact or project information is shared with a partner only when the buyer affirmatively requests that connection, such as by requesting a quote or expressing interest in a specific Partner Service. See the Privacy Policy for additional detail on this data flow.

11. Security Practices

BuildThread maintains security practices appropriate to the nature of the data processed through the Services, including encryption of data in transit, role-based access controls limiting data access to authorized users, and authentication protections on accounts. These practices are reviewed and updated as the Services evolve. No security program eliminates all risk, and Section 18 below applies to the extent of any incident.

A Data Processing Addendum is available upon request for Clients requiring one as part of their own compliance or procurement process.

12. Service Availability and Support

BuildThread targets commercially reasonable uptime for the Services and commercially reasonable response times for support requests. This section does not constitute a formal service level agreement; specific uptime or response commitments, if any, are set forth in a separate Client agreement.

13. Data Export

Upon request and subject to the terms of any applicable Client agreement, a Client may export its Client Data in a commercially reasonable format. This is intended to ensure Clients are not locked into the Services and retain practical access to their own data.

14. Pilot Program Terms

Where a Client engages BuildThread under a pilot or trial arrangement, the following applies in addition to the rest of these Terms. A pilot is an evaluation use of the Services for a defined period. Metrics, insights, and reporting generated during a pilot are informational and are not a guarantee of performance, results, or future availability of the Services. Either party may discontinue a pilot at its conclusion, or earlier by mutual agreement, without further obligation beyond fees already due. Fees paid for a pilot may, at BuildThread's discretion, be credited toward a subsequent production agreement, as specified in the applicable order form.

15. Fees and Payment

Fees for the Services, including any pilot program pricing, are set forth in a separate order form or agreement between BuildThread and the Client. Payment processing for Services fees is handled by Stripe, subject to Stripe's own terms. Payment for any Partner Service is handled separately by the relevant partner and is not processed by BuildThread unless otherwise stated at the time of purchase. Fees for the Services are non-refundable except as expressly stated in a separate agreement.

16. Confidentiality

Each party agrees to protect the other party's confidential information using the same degree of care it uses for its own confidential information, and not less than a reasonable degree of care, and not to disclose such information to third parties except as necessary to perform under these Terms or as required by law.

17. Disclaimers

The Services are provided as is and as available, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. BuildThread does not warrant that the Services will be uninterrupted, error-free, or that AI-generated content, insights, or recommendations will be accurate or complete. All AI-generated outputs, including conversation summaries, closing probability estimates, and recommended actions, are provided for informational purposes only and should not be the sole basis for any business, sales, or financial decision. BuildThread makes no warranties regarding any Partner Service, which is provided solely by the relevant third-party partner, or regarding the accuracy of any builder-supplied information described in Section 6.

18. Limitation of Liability

To the maximum extent permitted by law, BuildThread shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Services or any Partner Service. BuildThread's total liability for any claim arising out of these Terms shall not exceed the amount paid by the Client to BuildThread in the twelve months preceding the claim.

19. Indemnification

You agree to indemnify and hold BuildThread harmless from any claims, damages, or expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your misuse of the Services, or content you submit through the Services.

20. Termination

Either party may terminate use of the Services as set forth in a separate Client agreement, or, where no separate agreement exists, at any time for any reason. Upon termination, your right to access the Services will cease, though certain provisions of these Terms, including Sections 2, 7, 8, 9, 10, 13, 16, 17, 18, 19, and 21, will survive.

21. General Provisions

These Terms, together with any separate Client agreement, constitute the entire agreement between you and BuildThread regarding the Services and supersede any prior agreements on the same subject. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. No waiver of any provision of these Terms will be effective unless in writing, and no failure to enforce any provision constitutes a waiver of future enforcement. You may not assign or transfer these Terms or your rights under them without BuildThread's prior written consent; BuildThread may assign these Terms in connection with a merger, acquisition, or sale of assets. Any notices under these Terms should be directed to the contact information in Section 24.

22. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Wake County, North Carolina.

23. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
